THE WHAT? Bernard Arnault and his family are planning to simplify the ownership structure controlling LVMH, consolidating substantially all of their stake in the luxury group within a single holding company, Agache SCA.
THE DETAILS Under the proposed restructuring, Christian Dior SE would be delisted and control of LVMH transferred to Agache SCA, which would directly hold 49.76 percent of LVMH’s share capital and 65.55 percent of its voting rights. The Arnault family currently controls 50.33 percent of LVMH’s capital and 66.27 percent of voting rights. As part of the restructuring, the family would launch a cash tender offer for the 2.44 percent of Christian Dior it does not own, a stake valued at approximately €1.63 billion. Christian Dior shareholders are expected to vote on the changes before the end of 2026, with the tender offer planned for the first quarter of 2027, subject to regulatory approval.
THE WHY? The restructuring simplifies the ownership architecture of the world’s largest luxury group and consolidates the Arnault family’s controlling interest within a single entity, providing greater clarity around long-term governance and eventual succession at LVMH, whose beauty interests include Parfums Christian Dior, Guerlain, Givenchy Parfums, Benefit Cosmetics and Fenty Beauty.
