    Harvey Nichols Warns It Will Collapse as Pre‑pack Sale Nears

    LONDON — Harvey Nichols has warned that it will collapse without a rescue deal, as the loss‑making luxury department store group edges closer to a potential pre‑pack sale.

    In the latest Companies House filings for the 52 weeks ended March 29, 2025, Julia Goddard, director of Harvey Nichols Group, said that if “a sale is not completed and if no additional funding is provided, the group would cease trading.”

    She also noted that the accounts have been drawn up on a break‑up basis, instead of on a going‑concern basis, reflecting an expectation of a sale or wind‑down rather than business as usual.

    The warning comes amid an ongoing sale process of the 193‑year‑old luxury retail establishment, with Mike Ashley’s Frasers Group widely seen as the frontrunner to take over the retailer from Hong Kong businessman Dickson Poon as early as Tuesday, according to market sources.

    A spokesperson for Harvey Nichols on Monday confirmed that the group has received “a number of bids and was actively pursuing one or more such bids with a view to concluding a transaction within the going concern period.”

    It is understood that the leading proposals would require Harvey Nichols to enter a formal administration process prior to a sale.

    Often referred to as a pre‑pack deal, administration is a court‑supervised insolvency procedure in which the sale of a distressed company’s business or assets is negotiated in advance, then executed immediately upon the appointment of an administrator.

    According to the latest filings from Broad Gain (UK) Ltd., the private parent company of Harvey Nichols, for the 52 weeks ended March 29, 2025, the group reported a 10 percent drop in sales to 184.8 million pounds from 204.9 million pounds, and a loss after tax of 48.7 million pounds, widening from 34.1 million pounds a year earlier.

    The company said trading was hit by weak consumer confidence linked to the lingering cost‑of‑living crisis in the U.K., while the loss of tax‑free shopping in Britain continued to weigh on tourist spend.

    The group invested 3.8 million pounds in capital expenditure during the period, after booking a 5.5 million pound gain in the prior year from the sale of its former head office building, held in a non‑trading subsidiary.

    The current sale process marks the latest changing of the guard among London’s major department stores, following the sale of Harrods to Qatar Holdings in 2010 and Selfridges to Central Group and the now‑defunct Signa in 2022. Selfridges’ ownership has since evolved, with Saudi Arabia’s Public Investment Fund acquiring a 40 percent stake.

    A deal would add the Knightsbridge flagship and Harvey Nichols’ U.K. stores in Leeds, Edinburgh, Manchester, Birmingham, Bristol and Dublin, as well as franchise locations in Hong Kong, Dubai, Riyadh, Kuwait and Doha, to Frasers’ expanding portfolio of premium and luxury assets, which include House of Fraser and Flannels, as well as stakes in Hugo Boss, Mulberry and Burberry.

    Still, any bid will also have to contend with the future of the chain’s key asset, the Knightsbridge flagship, whose lease is understood to have just five years left to run. The freehold is owned by Cadogan, the major landlord in Chelsea and Knightsbridge.

    Cadogan has declined to comment on its plans for the building, leaving prospective buyers with limited visibility over whether they can secure a lease extension, pursue a redevelopment partnership, or potentially relocate the flagship in the medium term.

    Ashley last week told The Financial Times that he would keep the London and Edinburgh locations intact, and convert the other Harvey Nichols U.K. branches into House of Fraser or Flannels.

    Despite the financial strain, Goddard has been trying to engineer a turnaround at Harvey Nichols. She has overseen a three‑year, multimillion‑pound refurbishment of the Knightsbridge store aimed squarely at well‑heeled local customers, rather than relying on the international tourist trade that has been dented by the end of tax‑free shopping.

    Phase one of the transformation, the “125” ground‑floor concept space named after the store’s Knightsbridge address, opened last fall with floor‑to‑ceiling windows onto Sloane Street, curated jewelry, homeware and gifts, and room for pop‑ups and a Kuro Coffee outpost.

    The fourth floor has been recast as a wellness hub with a Pilates studio, aesthetics clinic, Healf’s first physical space and an athleisure offer, while the fifth floor is being reworked to house a new restaurant and hospitality spaces.

    Goddard told WWD earlier this year that her ambition is to bring back the “glory days” of the 1990s and 2000s, when “Harvey Nicks” became a pop‑culture reference point thanks to the comedy TV show “Absolutely Fabulous,” and built a reputation as a beauty powerhouse under executives such as Daniela Rinaldi, who helped launch brands from MAC and Shu Uemura to Fenty Beauty.
